ADDENDUM: ANNUAL CREDIT PACKAGE TERMS
This Annual Credit Package Addendum ("Addendum") is entered into as of the Effective Date and is hereby incorporated into and made a part of the existing Terms of Service ("TOS") between the Company and Customer. In the event of any conflict between the terms of this Addendum and the TOS, the terms of this Addendum shall prevail with respect to the subject matter herein.
1. Allocation and Issuance
The Service shall be provided via an "Annual Credit Package" as defined in the Order Form. The first Annual Credit Package shall be issued on the Effective Date. The second Annual Credit Package shall be issued on the first anniversary of the Effective Date (the "Year 2 Commencement Date").
2. Use-It-Or-Lose-It Policy
Each Annual Credit Package is restricted to the specific twelve (12) month period for which it is issued. Any unused portions of the Year 1 Annual Credit Package shall automatically expire at the end of the first twelve (12) month period and shall not roll over, be credited toward, or be combined with the Year 2 Annual Credit Package. Customer is prohibited from accessing or "drawing down" from the Year 2 Annual Credit Package prior to the Year 2 Commencement Date, regardless of whether the Year 1 allocation has been exhausted.
3. Service Activation via Change Order
Utilization of the Annual Credit Package is strictly subject to the execution of a mutually agreed-upon Order Form or Change Order for specific Services. No portion of the Annual Credit Package may be applied toward any Service until a corresponding Order Form specifying the scope, quantity, and credit valuation of such Service has been executed by both Parties.
4. Non-Refundability and Expiration
The fees paid for each Annual Credit Package represent a commitment of capacity and service availability by the Company. Consequently, no refunds, credits, or offsets shall be issued for any portion of an Annual Credit Package that remains unused at the time of its expiration. All Services selected via an Order Form or Change Order must be fully consumed within the original twelve (12) month period of the applicable Package.
5. Consumption Logic (FIFO)
In the event Customer purchases additional "On-Demand" or "Top-Up" credits outside of the Annual Credit Package, the System shall first deduct from the expiring Annual Credit Package balance before drawing from any non-expiring or supplemental balances.
